Fenestra Affiliate Program Terms and Conditions

Last updated October 9, 2026

1. Preamble and Acceptance

1.1 Parties

These Affiliate Program Terms and Conditions (the "Agreement") are between Designtree AI LLC, a company registered in Sharjah Media City (Shams), Sharjah, United Arab Emirates, which operates the Fenestra platform at https://fenestra.app ("Fenestra", "we", "us" or "our"), and the individual or entity that enrols in the Fenestra Affiliate Program (the "Affiliate" or "you").

1.2 Acceptance

You accept this Agreement by affirmatively indicating your acceptance during enrolment through Tolt, such as by ticking a box or clicking "agree". By doing so, you also agree to Fenestra's Platform Terms of Service at https://www.fenestra.app/termsandconditions and Fenestra's Privacy Policy at https://www.fenestra.app/privacy. Fenestra shall retain a record of the version of this Agreement you accepted, the date and time of acceptance and your identity. You shall not distribute any Affiliate Link until you have accepted this Agreement and Fenestra has approved your enrolment.

1.3 Capacity

You represent and warrant that you are at least 18 years of age, or the age of majority in your jurisdiction if higher, and have legal capacity to enter into this Agreement. If you enrol for an entity, you represent and warrant that you are authorised to bind it.

1.4 Definitions

"Affiliate Dashboard" means your account interface in Tolt. "Affiliate Link" means the unique tracking link or referral code issued to you through Tolt. "Commission" means the Initial Commission and the Recurring Commission. "Customer" means a purchaser of a paid Fenestra subscription. "Lemon Squeezy" means Lemon Squeezy, or any successor merchant of record designated by Fenestra, which handles Customer checkout, subscription billing and tax remittance. "Program Page" means https://www.fenestra.app/affiliates. "Tolt" means Tolt, or any successor tracking platform designated by Fenestra.

2. Enrolment and Account Vetting

2.1 Registration

Enrolment is made exclusively through Tolt. You shall provide, and keep current through the Affiliate Dashboard, accurate identity, contact, payout and tax information, and shall comply with Tolt's terms for affiliates. You may hold only one affiliate account unless Fenestra agrees otherwise in writing.

2.2 Fenestra's discretion

Fenestra may at any time, in its sole discretion and without giving reasons, accept or reject an application, request verification, monitor your traffic sources and promotional content, and suspend or deactivate your account. Fenestra has no liability for any such decision, or for any payment delayed or misdirected because your information is inaccurate or out of date.

3. Tracking and Attribution

3.1 Tracking

Referrals are tracked by Tolt through your Affiliate Link and browser cookies. Fenestra sets or reads affiliate tracking cookies only after the visitor has given affirmative consent to cookie tracking, and clicking an Affiliate Link does not by itself count as consent. If a visitor does not consent, or later withdraws consent, the referral may not be tracked or attributed and no Commission will be payable on it. A referral is recorded only if the visitor follows your Affiliate Link and purchases within the cookie duration configured in Tolt and displayed in the Affiliate Dashboard.

3.2 Last-click attribution

If a visitor follows more than one affiliate's link before purchasing, the referral is attributed solely to the affiliate whose link was followed last, as recorded by Tolt. Commissions are not split. Each recurring or renewal payment is attributed to the affiliate credited with the original purchase of that subscription.

3.3 Qualified Referral

A "Qualified Referral" is a Customer who (a) is attributed to you under this Clause 3; (b) does not hold an active paid Fenestra subscription when they purchase; (c) does not use a duplicate account held by the same person or business to obtain a Commission; (d) purchases a valid paid subscription through Lemon Squeezy; (e) is not the product of fraud or of conduct prohibited by Clause 5 or Clause 6; and (f) has not been refunded or charged back the relevant payment.

3.4 Tracking failures

Fenestra is not liable for referrals that are not tracked due to causes outside its reasonable control, including cookie, ad or script blockers, private browsing, cleared cookies, a change of device or browser, failure to use your Affiliate Link, or any error or outage of Tolt or Lemon Squeezy.

3.5 Records and corrections

Tolt and Lemon Squeezy records are presumed accurate. If you show that a referral or Commission was omitted, duplicated or misrecorded because of a data or integration error, and notify Fenestra promptly with supporting evidence, Fenestra shall investigate in good faith and make any adjustment the evidence reasonably supports in the next monthly payout.

4. Commissions, Payouts and Adjustments

4.1 Rates

For each Qualified Referral you earn (a) 40% of the Net Revenue from the first subscription payment, or 20% where that payment is for an annual plan (the "Initial Commission"); and (b) 20% of the Net Revenue from each subsequent recurring or renewal payment received within twelve (12) months after that Customer's first subscription payment (the "Recurring Commission"), provided the Customer maintains an active, uncancelled paid subscription. The Recurring Commission ends at the end of that twelve-month period, or earlier on cancellation, expiry or lapse for non-payment, and does not revive if the Customer later purchases a new subscription, although that new purchase may itself be a Qualified Referral under Clause 3.3.

4.2 Net Revenue

"Net Revenue" means, for each subscription payment, the amount actually paid by the Customer after any discount, less the following amounts attributable to that payment as recorded by Lemon Squeezy: (a) refunds and credits; (b) chargebacks; (c) payment gateway, transaction and merchant of record fees; and (d) VAT, sales tax and other statutory taxes. No amount is deducted twice, and partial refunds, upgrades, downgrades and prorated charges are commissionable only on the amount actually retained. No Commission is earned on a failed payment or on any amount Fenestra does not receive.

4.3 Holdback and payouts

Each Commission shall be held for not less than 30 days from the date the underlying payment is received, to reconcile refunds, chargebacks and disputes, and then becomes payable in the next monthly payout, to the extent the payment has not been refunded, charged back or disputed. Where a payment is under open dispute or chargeback when its Commission would otherwise become payable, Fenestra may hold that Commission until the dispute is resolved, and shall pay it in the next monthly payout if the dispute is resolved in Fenestra's favour or cancel it if it is not. Payouts are made monthly on NET-30 terms through Tolt, using the payout methods available in the Affiliate Dashboard, once your balance reaches the minimum threshold designated there; smaller balances carry forward.

4.4 Reversal and offset

Fenestra may reverse or offset any Commission, whether pending or paid, to the extent attributable to (a) a fraudulent, invalid or ineligible referral or transaction; (b) a refunded, charged back or reversed payment; or (c) a referral generated in breach of this Agreement. Where Fenestra reasonably suspects fraud or such a breach, it may suspend the affected Commissions while it investigates, shall notify you, and shall pay any amount found due in the next monthly payout. Reversed Commissions already paid are a debt you owe Fenestra, which it may set off against future Commissions or recover on written demand.

4.5 Taxes and charges

You are solely responsible for your own taxes, filings, statutory withholdings, bank and payout fees and currency conversion costs. Commissions are calculated on Net Revenue, which excludes any VAT or other tax paid by the Customer. If you must charge VAT or a similar tax on your services, the Commission is treated as inclusive of that tax and Fenestra shall not pay any additional amount for it, unless applicable law requires otherwise. Fenestra may withhold amounts required by law and request tax documentation before payment.

5. Prohibited Promotional Conduct

You shall not, directly or through any third party:

5.1 Self-refer

Use your Affiliate Link for purchases by yourself or your own accounts, or for any business you own, control or work for as an employee, or otherwise earn Commission on a purchase you make or pay for yourself. Referring a client who buys and pays for their own subscription is allowed, even if you provide services to that client.

5.2 Brand-bid

Bid on, purchase or use as an advertising keyword "Fenestra", "Designtree AI", or any misspelling, variation or term confusingly similar to them, in any paid search or paid social advertising (including Google Ads, Microsoft Bing Ads and Meta Ads); run ads that link directly to a Fenestra domain or appear to be placed by Fenestra; or register any domain, handle or account name containing or confusingly similar to those terms.

5.3 Spam or use automated acquisition

Send unsolicited commercial email or mass unsolicited messages by any channel, or engage in any activity that breaches the US CAN-SPAM Act or any other applicable anti-spam law; generate traffic by bots or scripts; run mass direct-message campaigns; post automated or bulk content on forums, comments or social media; or use link farms.

5.4 Stuff cookies or route deceptively

Set a tracking cookie without the visitor's knowing click, including through hidden iframes, pop-unders, invisible pixels, parasitic browser extensions, adware or forced redirects.

5.5 Abuse coupons

Publish your Affiliate Link or any Fenestra code on coupon, voucher or deal aggregation sites not approved by Fenestra in writing, or promote any discount that is misleading, unauthorised or does not exist.

5.6 Misrepresent or infringe

Make false, misleading or unsubstantiated claims about Fenestra's features, pricing, results or AI generation capabilities; impersonate Fenestra or Designtree AI LLC or imply that you are its representative or reseller; promote Fenestra alongside unlawful, defamatory, obscene, hateful or deceptive content, or content contrary to UAE public order or morals; infringe any third-party rights; or tamper with Tolt, any Affiliate Link or Fenestra's systems.

6. Advertising Disclosures and Regulatory Compliance

6.1 Disclosure

You shall clearly and conspicuously disclose your affiliate relationship with Fenestra in all content that promotes Fenestra or contains an Affiliate Link, on every channel, including YouTube, TikTok, X, blogs, newsletters and email. Disclosures must appear before or with the promotional message, must not be hidden in links, hashtag clusters or expandable text, and must use a clear label such as "#ad", "#affiliate" or "#sponsored".

6.2 Applicable rules

You shall comply with all advertising, media, consumer protection, electronic communications and data protection laws applicable to your activities, including the US FTC Endorsement Guides, the UK CAP Code and equivalent rules wherever your content is published or targeted, as well as the branded-content and disclosure policies of each platform you use, such as YouTube, TikTok, Instagram and X.

6.3 UAE licensing

If you reside, operate or target audiences in the United Arab Emirates, you shall at your own cost obtain and maintain all licences and permits required for your activities, which may include a commercial or freelancer licence and, where applicable to your activities, an Advertiser Permit from the UAE Media Council under Federal Decree-Law No. 55 of 2023 on Media Regulation and its implementing regulations, and shall provide evidence on request. You are solely responsible for determining which requirements apply to you, and Designtree AI LLC has no obligation or liability in respect of your licensing or disclosure compliance.

7. Intellectual Property

7.1 Licence

Fenestra grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable, royalty-free licence to display the logos, banners and marketing assets it provides (the "Approved Assets") solely to promote the Program, unmodified except for proportionate resizing and in line with any brand guidelines.

7.2 Reservation of rights

Designtree AI LLC retains all rights in the Fenestra platform, its names and marks and the Approved Assets, and all goodwill from your use of them vests exclusively in it. You shall not register or challenge any of its marks or domain names, or anything confusingly similar.

7.3 Cessation

On termination, the licence ends and you shall immediately stop using, and remove, all Approved Assets, Fenestra marks and Affiliate Links.

8. Relationship of the Parties

The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, franchise or employment relationship. You have no authority to bind Fenestra or make any representation or commitment on its behalf. Your appointment is non-exclusive, and you bear the costs of your own promotional activities.

9. Term, Termination and Forfeiture

9.1 Termination at will

This Agreement begins when Fenestra approves your enrolment. Either party may terminate it at any time by written notice or by closing the affiliate account through Tolt.

9.2 Termination for cause

Fenestra may terminate this Agreement or suspend your participation immediately by notice if you commit a material breach, engage in brand bidding or other conduct prohibited by Clause 5, generate fraudulent attributions or conversions, or breach Clause 6.

9.3 Forfeiture

You forfeit any pending or accrued Commission to the extent attributable to a fraudulent conversion, an ineligible referral or conduct prohibited by Clause 5 or Clause 6, whether discovered before or after termination, and Fenestra may recover any such Commission already paid under Clause 4.4. An unrelated breach does not by itself forfeit Commissions on other Qualified Referrals, without prejudice to Fenestra's right of set-off.

9.4 Effect of termination

After termination no new referrals are attributed to you. Subject to Clause 9.3, Commissions on payments from Qualified Referrals attributed to you before termination continue to be paid under Clause 4. You need not continue promoting Fenestra to receive them, but your entitlement remains subject to your continued compliance with the provisions that survive termination and with Clauses 5 and 6 in any conduct affecting those Qualified Referrals. Clauses 3.5, 4.4, 4.5, 7.2, 7.3, 9.3, 9.4, 10, 11 and 12 survive termination.

10. Representations, Warranties and Indemnity

10.1 Warranties

You represent and warrant that the information you provide is accurate; that your activities comply with this Agreement and applicable law; that you hold the licences and permits required under Clause 6; and that your content does not infringe any third-party right.

10.2 Indemnity

You shall defend, indemnify and hold harmless Designtree AI LLC, its affiliates and their directors, officers, employees and agents against all third-party claims and resulting losses, damages, penalties, regulatory fines (including media council and consumer protection sanctions), settlements and reasonable legal costs, to the extent arising out of your promotional activities or content, your breach of this Agreement, or your violation of any law or third-party right.

10.3 Conduct of claims

Fenestra shall notify you promptly of any such claim, take reasonable steps to mitigate its losses and provide reasonable cooperation at your expense. Fenestra may assume control of the defence, in which case it shall consult you in good faith before agreeing any settlement for which you will be liable. You shall not settle any such claim without Fenestra's prior written consent.

11. Disclaimer and Limitation of Liability

11.1 Disclaimer

The Program, Tolt, the Affiliate Dashboard and the Approved Assets are provided "as is" and "as available". To the fullest extent permitted by law, Fenestra disclaims all warranties and does not warrant uninterrupted availability, complete tracking or any level of Commission.

11.2 Exclusion and cap

To the fullest extent permitted by law, Fenestra shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, business or goodwill, and its total liability under this Agreement shall not exceed the total Commissions actually paid to you in the twelve (12) months immediately preceding the incident giving rise to the claim. This cap does not limit Fenestra's obligation to pay Commissions properly earned and payable under Clause 4.

11.3 Mandatory liability

Nothing in this Agreement, including Clauses 2.2, 6.3 and 11, limits or excludes liability for fraud, wilful misconduct or gross negligence, or any liability that cannot be limited or excluded under UAE law.

12. Governing Law, Jurisdiction and Miscellaneous

12.1 Law and jurisdiction

This Agreement and any dispute arising out of or in connection with it are governed by the federal laws of the United Arab Emirates and the commercial regulations applicable in the Emirate of Sharjah. The competent civil and commercial courts of Sharjah have exclusive jurisdiction.

12.2 Modification

Fenestra may modify this Agreement at any time by publishing a revised version on the Program Page with an updated "Last Updated" date. Modifications take effect on publication, without notice, except where applicable law requires notice, in which case Fenestra shall give the notice so required. No modification reduces Commissions earned on payments received before it takes effect, and revised commission terms apply to existing Qualified Referrals only if the revised version expressly says so. If you do not agree to a modification, you may terminate under Clause 9.1; otherwise, your continued participation after it takes effect constitutes acceptance.

12.3 Entire agreement

This Agreement, with the documents referred to in Clause 1.2, is the entire agreement concerning the Program and prevails in the event of conflict, except that the Privacy Policy governs the processing of personal data and other privacy matters, and nothing in this Agreement overrides applicable data protection law.

12.4 General

If any provision is held unenforceable, it shall be enforced to the maximum extent permissible and the remainder continues in effect. No failure or delay in exercising a right is a waiver of it. You may not assign this Agreement without Fenestra's prior written consent; Fenestra may assign it in whole or in part. Fenestra may give notice by email to your registered address or through Tolt. You shall give notice to Fenestra by email to the address in Clause 12.5. Email notice is treated as received on the next business day in the United Arab Emirates after it is sent.
